Statement of the Management Board of Budimex SA on\u00a0the repeal of PNI’s own management board and the appointment of an administrator<\/h2>\n

In\u00a0the\u00a0opinion of the Management Board, the change in\u00a0the management model of PNI may complicate its daily operations and make it difficult to\u00a0conduct negotiations on\u00a0the change of problematic and critical terms of the company\u2019s existence.<\/p>\n

The Management Board of Budimex SA was concerned that this decision was made as\u00a0a\u00a0result of applications submitted by: (1) Przedsi\u0119biorstwo Rob\u00f3t Kolejowe i\u00a0In\u017cynieryjnych S.A., a\u00a0consortium partner of PNI on\u00a0one of the jointly executed contracts and\u00a0supported by\u00a0the other partners on\u00a0this contract, i.e. PKP Energetyka S.A. and Dolno\u015bl\u0105skie Przedsi\u0119biorstwo Napraw Infrastruktury Komunikacyjnej \u201cDOLKOM\u201d Sp. z\u00a0o.o. and (2) PKP PLK SA, which is the principal of the contracts executed by\u00a0PNI Sp. z\u00a0o.o. in\u00a0arrangement bankruptcy together with the above-mentioned consortium partners.<\/p>\n

It should be\u00a0emphasized that the arguments of PNI\u2019s consortium partners who filed a\u00a0motion to\u00a0revoke the company\u2019s own management take into account the interests of only three creditors and refer to\u00a0issues related to\u00a0the course of the process of implementation of one of many performed by\u00a0Przedsi\u0119biorstwo Napraw Infrastruktury Sp. z\u00a0o.o. in\u00a0arrangement bankruptcy of contracts. There are grounds to\u00a0assess the conduct of these partners as\u00a0acting to\u00a0the detriment of PNI Sp. z\u00a0o.o. in\u00a0arrangement bankruptcy \u2013 and thus to\u00a0the detriment of its employees, other creditors and\u00a0contractors. With regard to\u00a0the application of PKP PLK SA, the Management Board of Budimex SA is of the opinion that all actions taken so far by\u00a0the Management Board of PNI Sp. z\u00a0o.o. in\u00a0arrangement bankruptcy aimed at\u00a0securing and satisfying the interests of all creditors in\u00a0the future, implementing key investments for the company and maintaining the existence of PNI. In\u00a0the current situation, the achievement of these goals has become threatened.<\/p>\n

The Management Board of Budimex SA is convinced that the current Management Board of PNI Sp. z\u00a0o.o. in\u00a0arrangement bankruptcy acted in\u00a0the interest of PNI and creditors and remained the best guarantor of agreeing on\u00a0the final shape and performance of the arrangement agreements. We\u00a0hope that the administrator appointed by\u00a0the court will take into account the competence and experience of the people who have been managing the company so far and will remain open to\u00a0their suggestions and recommendations.<\/p>\n
