In\u00a0line with its strategy, Budimex focuses on\u00a0construction activities, residential development and development in\u00a0the field of infrastructure and building maintenance services, as\u00a0well as\u00a0municipal waste management. Budimex Danwood, which operates in\u00a0a\u00a0different area than those mentioned above, has been for sale for years. Also because, due to\u00a0the fundamentally different scopes of operations of Budimex SA and Budimex Danwood and the required different competences, there are no\u00a0synergy effects justifying the Podlasie company to\u00a0remain in\u00a0the Group.<\/p>\n

We\u00a0decided to\u00a0sell Budimex Danwood because there was an investor who appreciated the value and growth potential of this company built over the years of presence in\u00a0the Budimex Group, wants to\u00a0continue developing it and offered us a\u00a0fair price. Budimex Danwood achieves very good financial results and diversifies geographically the markets in\u00a0which it operates. However, further dynamic development of this company would require further investments, which Budimex is not interested in\u00a0for the reasons mentioned.<\/p>\n

The sale price of the company\u2019s shares is payable by\u00a0the buyer on\u00a0the date of conclusion of the disposition agreement, i.e.: transferring to\u00a0him the ownership of shares in\u00a0the estimated amount of PLN 238,600,000. This price will be\u00a0adjusted to\u00a0reflect the difference between Danwood\u2019s estimated and actual cash and working capital levels as\u00a0at\u00a0November 30, 2013. The above adjustment will be\u00a0settled by\u00a0the parties to\u00a0the transaction within 60 days from the date of conclusion of the disposition agreement, but we\u00a0do\u00a0not expect any significant price adjustments.<\/p>\n

The sale of Budimex Danwood will have a\u00a0one-off, significant and positive impact on\u00a0the results of Budimex SA and the Budimex Group in\u00a02013. Budimex Danwood\u2019s results will be\u00a0consolidated by\u00a0the end of November this year. In\u00a0connection with this transaction, next year\u2019s consolidated revenues and profits of the Budimex Group will be\u00a0lower than the revenues and profits of Budimex Danwood, but I\u00a0hope that this loss will be\u00a0partially compensated by\u00a0sales in\u00a0the construction segment.<\/p>\n

I\u00a0am\u00a0glad that Budimex Danwood is moving to\u00a0the portfolio of a\u00a0renowned investor such as\u00a0Enterprise Investors, which is widely known for strengthening the companies it manages, and which has appreciated the value of the company built in\u00a0the Budimex Group. I\u00a0am\u00a0very satisfied with Budimex\u2019s participation in\u00a0the successes of Budimex Danwood, which will sail into wider waters thanks to\u00a0the new investor.<\/p>\n

Budimex Danwood Sp. z\u00a0o.o.<\/strong> \u2013 the largest manufacturer of energy-efficient and economically effective prefabricated houses in\u00a0the timber frame system in\u00a0Poland (including prefabricated turnkey houses). On\u00a0the German market, it is one of the 6 largest manufacturers of prefabricated houses and No. 1 in\u00a0the segment of turnkey prefabricated houses. The company was founded in\u00a01990 and joined the Budimex Group in\u00a02000. It employs 730 people and produces 600 homes a\u00a0year.<\/p>\n

Enterprise Investors<\/strong>\u00a0\u2013 the oldest and one of the largest groups of private equity and venture capital funds in\u00a0Poland and Central and Eastern Europe. The company has been operating since 1990. The total funds of the eight investment funds created by\u00a0Enterprise Investors exceeded EUR 2 billion. To\u00a0date, funds managed by\u00a0Enterprise Investors have invested a\u00a0total of EUR 1.6 billion in\u00a0131 companies from various sectors of the economy. Revenues from 102 completed investments exceeded EUR 2 billion.<\/p>\n
