    2025 was a\u00a0time of intensive activities, which brought the Budimex Group record operating profitability and a\u00a0stable position as\u00a0the leader of the construction market in\u00a0Poland<\/strong>. For the whole year, the Company generated approximately PLN 892 million in\u00a0operating profit, of which PLN 383 million was for the last three months of the year. At\u00a0the end of December 2025, the order book amounted to\u00a0approximately PLN 16.2 billion, and the value of contracts awaiting signature reached approximately PLN 6 billion, strengthening the visibility of revenues in\u00a0subsequent periods.<\/p>

    The year 2025 was a\u00a0period of stable operational activity for the Budimex Group, further strengthening of business fundamentals and continued diversification of operations. Despite the challenging and volatile market environment, the Group maintained solid financial results, maintaining record profitability and a\u00a0secure order book structure. The construction and services segments maintained high operational efficiency, confirming the resilience of the Group’s business model.<\/p>

    In the whole of 2025, the Budimex Group generated an operating profit of PLN 892 million, maintaining high cost efficiency despite the challenging market environment. After three quarters, the operating result was PLN 509 million (compared to\u00a0PLN 508 million in\u00a0the corresponding period of 2024). A\u00a0strong acceleration occurred in\u00a0the fourth quarter, when operating profit reached PLN 383 million, which was a\u00a0significant part of the full-year result and was one of the highest quarterly levels in\u00a02025.<\/p>

    Effective management of direct costs, bidding discipline and a\u00a0selective approach to\u00a0new contracts have made it possible to\u00a0limit the impact of price pressures and volatility of investment schedules on\u00a0results. As\u00a0a\u00a0result, the Budimex Group achieved the expected operating efficiency in\u00a02025, increasing year-on-year profitability from 8.2% to\u00a09.5%. Maintaining stable profitability on\u00a0an annual basis, with a\u00a0significant increase in\u00a0results in\u00a0the fourth quarter, confirms the effectiveness of the adopted operating model. \u200e

    Construction and assembly production in\u00a02025 (current prices) increased by\u00a03.9% year-on-year from PLN 157.9 billion to\u00a0PLN 164.1 billion. In\u00a0the buildings segment, sold production increased by\u00a08.3%, and in\u00a0the infrastructure area, an increase of 0.2% was recorded, indicating that the market has stabilized after a\u00a0period of greater volatility in\u00a0previous years. Investment activity remained varied during the year. The first part of the year was characterised by\u00a0limited dynamics, while the second half saw a\u00a0gradual recovery due to\u00a0more tenders and the launch of new infrastructure projects.  <\/p>

    The pace of the market was also affected by\u00a0lengthy preparatory processes, including administrative procedures. These phenomena are consistent with the cyclicality of the infrastructure market and the characteristics of the investment process, and as\u00a0projects moved to\u00a0the implementation phases, there was a\u00a0gradual increase in\u00a0the pace of works during the year.

    Sales of the construction segment of the Budimex Group in\u00a02025 amounted to\u00a0PLN 8,629 million (+4.9% y\/y), recording an improvement in\u00a0both operating profitability (from 8.0% in\u00a02024 to\u00a09.5% in\u00a02025) and profitability of gross profit (from 9.1% in\u00a02024 to\u00a010.2% in\u00a02025).

    The scale of sales revenues in\u00a02025 in\u00a0the construction segment was higher than in\u00a0the previous year. The higher level of sales was mainly due to\u00a0growth in\u00a0the area of building and railway construction, as\u00a0well as\u00a0the intensification of contract execution on\u00a0foreign markets, in\u00a0particular the Czech Republic and Slovakia.<\/p>

    Operating profitability in\u00a0the construction segment amounted to\u00a09.5% and was 1.5 p.p. better than achieved in\u00a0the financial year 2024. The driving force behind the profitability improvements was the cubature segment, where the process of margin optimization brings positive effects through the adjustment of the client portfolio and a\u00a0selective approach to\u00a0the acquisition of new projects and the termination of contracts with lower profitability. The improvement in\u00a0profitability is also a\u00a0consequence of further stabilization of prices, greater availability of construction materials and subcontractor services, and maintaining cost discipline in\u00a0all segments of operations.<\/p>

    The gross profitability of the construction segment in\u00a0the period under review amounted to\u00a010.2% and improved compared to\u00a0the corresponding period of the previous year, when it amounted to\u00a09.1%. The direct cause of the improvement in\u00a0gross profitability was the increase in\u00a0operating profitability. Lower interest rates on\u00a0deposits offered by\u00a0banks, which were caused by\u00a0the reduction of interest rates started in\u00a0the third quarter of 2023, continue to\u00a0have a\u00a0negative impact on\u00a0the results achieved from financial activities.<\/p>

    Throughout 2025, we\u00a0acquired contracts worth over PLN 6.2 billion. The Budimex Group’s order book at\u00a0the end of 2025 amounted to\u00a0PLN 16.2 billion, of which over PLN 1 billion was accounted for by\u00a0contracts and orders carried out outside the country. The high value of the order book secures the Group’s work front not only until the end of 2026, but also for most of 2027, partly moving to\u00a02028. Intensive work on\u00a0the acquisition of new projects has resulted in\u00a0the value of projects awaiting signing, as\u00a0well as\u00a0those where the offer of Budimex or\u00a0the Group companies has been rated the highest (as\u00a0at\u00a031 December 2025), to\u00a0nearly PLN 6 billion. In\u00a0the perspective of the coming quarters, this will allow for a\u00a0balanced and responsible approach to\u00a0bidding in\u00a0the upcoming tenders.<\/p>

    The Budimex Group ended 2025 with a\u00a0net cash position of PLN 2.6 billion. In\u00a0June 2025, in\u00a0compliance with the assumptions of the adopted dividend policy, Budimex SA paid a\u00a0dividend from the profit generated for 2024 in\u00a0the amount of PLN 649.2 million, which is PLN 25.43 per share.

    <\/p>

    Improvement of operating profitability in\u00a0the FBSerwis Group y\/y

    <\/strong><\/p>

    \"3<\/p>

    The revenues of the FBSerwis Group, which is a\u00a0key asset within the services segment (the results of the service part also include the activities of companies from the RES area, Budimex Mobility and Budimex Parking Wroc\u0142aw) amounted to\u00a0PLN 921 million. The FBSerwis Group generated an operating profit of PLN 116 million (compared to PLN 94 million for 2024), while recording an increase in\u00a0profitability from 10.0% to\u00a012.6%. The FBSerwis Group’s gross profit for 2025 reached a\u00a0record level of PLN 120 million with a\u00a0net cash position of PLN 170 million.<\/p>

    Sales revenues in\u00a0the Mostostal Krak\u00f3w Group at\u00a0the end of 2025 amounted to\u00a0PLN 671 million. We\u00a0also recorded a\u00a0record level of contracting of PLN 856 million and the highest operating profit in\u00a0history of PLN 51 million. The last quarter of 2025, in\u00a0accordance with the assumptions of the companies from the Mostostal Krak\u00f3w Group, was intense in\u00a0terms of completing the formalities related to\u00a0new contracts. The order book includes projects with a\u00a0total value of over PLN 500 million, which allows us to\u00a0calmly approach the bidding process and focus more on\u00a0development and further investments. \u200e<\/p>

    The RES area developed its portfolio of generation assets \u2013 the Azalia (60 MW) and Kamelia (21 MW) photovoltaic farms have been granted concessions for electricity generation, and the capacity to\u00a0generate energy from renewable sources exceeds 100 GWh per year. BxF Energia is developing projects with a\u00a0potential capacity of about. 1.6 GW, with a\u00a0predominance of wind and hybrid installations (PV + wind).<\/p>

    In December 2025, the Budimex Group obtained PLN 63.7 million in\u00a0financing from mBank for the development, construction and operation of the “Kamelia” PV project in\u00a0Wymys\u0142owo (Mszczon\u00f3w commune). The project includes 33,870 panels with a\u00a0total connection capacity of 21 MW. Thanks to\u00a0the implementation of the “Azalia” and “Kamelia” projects, the total installed capacity in\u00a0the green energy area in\u00a0the Budimex Group exceeded 90 MW in\u00a02025.<\/p>


    Market outlook<\/strong><\/p>

    The construction sector remains one of the key drivers of the Polish economy. The construction industry is responsible for about. 10.5% of GDP, and the scale of employment in\u00a0the sector (taking into account the environment) is about. 1.3 million jobs.<\/p>

    The year 2025 brought a\u00a0moderate improvement in\u00a0market activity, but the outlook for 2026 is assessed as\u00a0more favourable, primarily due to\u00a0the expected increase in\u00a0investment activity in\u00a0the area of transport infrastructure and energy. According to\u00a0industry forecasts, the value of the construction market in\u00a0Poland may exceed PLN 400 billion, with part of the increase being nominal, related to\u00a0the cost structure. At\u00a0the same time, in\u00a0some tender procedures, strong competitive pressure and aggressive bidding persist, which forces selective contracting and increased cost discipline on\u00a0the part of contractors.<\/p>

    The predictability of the public procurement market and the efficiency of the investment process remain a\u00a0challenge. It would be\u00a0helpful to\u00a0introduce a\u00a0fixed investment calendar \u2013 discrepancies between the announcements and the actual launch of proceedings make it difficult for contractors to\u00a0plan resources in\u00a0the long term and manage the company stably. An additional factor is appeal procedures \u2013 the growing number of appeals to\u00a0the National Appeals Chamber and the lengthening time of their processing affect investment schedules and increase implementation and indexation risks.<\/p>

    In 2026, the time pressure resulting from the schedule of EU-funded investments, including those under the Recovery and Resilience Facility (RRF), for which the deadline for achieving milestones and targets is 31 August 2026, is also becoming more important. In\u00a0practice, this requires an efficient absorption of available funds and a\u00a0smooth transition from financing to\u00a0real fronts of works. In\u00a0this context, it remains crucial to\u00a0maintain the pace of preparation and launch of projects, efficient processing of administrative decisions and reliable verification of contractors in\u00a0tender procedures. The increase in\u00a0investment activity should translate into a\u00a0stable volume of works and predictable conditions for implementation, limiting the risk of investment spikes and increasing cost pressure.<\/p>

     
    <\/strong>Budimex against the competition<\/strong><\/p>

    Budimex maintains its position as\u00a0one of the key infrastructure contractors in\u00a0Poland, combining the scale of operations with diversification of competences. In\u00a02025, projects of high complexity, including m.in.\u00a0T3 Terminal in\u00a0the Baltic Hub, the Tri-City Metropolitan Bypass and the modernization of the Warszawa Zachodnia station. In\u00a0the Pod\u0142\u0119\u017ce-Piekie\u0142ko project, tunnel works were continued with the use of the TBM “Jadwiga” shield (3.2 km tunnel).<\/p>

    In the road segment, Budimex is implementing 24 contracts with a\u00a0total length of 255.2 km. At\u00a0the end of the year, investments were also completed in\u00a0advance: the reconstruction of the bridge in\u00a0Stronie \u015al\u0105ski and the Drezdenko bypass with a\u00a0346 m long bridge. On\u00a0foreign markets, a\u00a0contract was signed for the Estonian section of Rail Baltica (58.08 km) and the construction of a\u00a0flood reservoir in\u00a0the Czech Republic continued.<\/p>

    Mostostal Krak\u00f3w remains active in\u00a0activities related to\u00a0nuclear energy. In\u00a02025, we\u00a0obtained a\u00a0demanding certificate related to\u00a0the American NQA-1 standards and started preparing mock-up elements of a\u00a0nuclear reactor for the first nuclear power plant in\u00a0Poland at\u00a0our Steel Construction Plant in\u00a0Krakow. In\u00a0the perspective of this and the next year, we\u00a0are planning further investments that will ensure our group a\u00a0place among the leading Polish companies selected for the nuclear energy supply chain. \u200e<\/p>

    2025 was a\u00a0year of intensive development for FBSerwis. The Environmental Services Division has completed significant investments in\u00a0infrastructure. FBSerwis Zielony Kamie\u0144sk has opened a\u00a0modern Control and Measurement Laboratory. FBSerwis Zielona Karpatia in\u00a0Tarn\u00f3w has opened a\u00a0new biological waste treatment plant. In\u00a0October, a\u00a0new transport and warehouse base was opened in\u00a0Krusz\u00f3w, which is an important element on\u00a0the way to\u00a0increasing the efficiency of logistics processes related to\u00a0the services provided by\u00a0FBSerwis in\u00a0the region. In\u00a02025, the Road Infrastructure Maintenance Division has won contracts in\u00a0the field of current and winter road maintenance, as\u00a0well as\u00a0cleaning maintenance. These included, among others, two contracts concluded with the General Directorate for National Roads and Motorways Branch in\u00a0Gda\u0144sk, with a\u00a0total value of 205.6 million (287.8 million with an option), for year-round maintenance of roads. In\u00a0addition, we\u00a0are waiting for the completion of the processes related to\u00a0the selection of the contractor in\u00a0five tender procedures.<\/p>

    The FM\/SL Division continued its activities aimed at\u00a0acquiring new orders in\u00a0the area of technical maintenance of facilities and lighting modernization. The result of these actions was m.in.\u00a0signing a\u00a0contract with PKP Polskie Linie Kolejowe S.A.. for the modernization of external lighting in\u00a0the railway areas in\u00a0Bia\u0142ystok, Siedlce, Lublin, Rzesz\u00f3w, Opole, Wroc\u0142aw and Wa\u0142brzych.<\/p>


    Social responsibility<\/strong><\/p>

    Budimex received the Largest CIT Payer award in\u00a0the construction industry category. In\u00a0the last ten years, Budimex SA has paid over PLN 1.5 billion of CIT to\u00a0the state budget, and in\u00a0the last four years the total amount of CIT, PIT and VAT taxes has exceeded PLN 2.6 billion.<\/p>

    Budimex has been awarded four prizes in\u00a0the “Construction of the Year” competition (XXXV edition), m.in.\u00a0for the Waterfront II\u00a0projects, the Port of Gdynia, the pedestrian and bicycle bridge over the Vistula River and the sports hall in\u00a0Zi\u0119bice. In\u00a0the area of education, the company has signed a\u00a0cooperation agreement with AGH UST in\u00a0Krakow.<\/p>

    The “Green Stop” initiative was continued in\u00a0environmental activities (additional planting of 1000 trees and 50 shrubs). In\u00a0the pro-social area, the “Parent Zone” program was developed \u2013 in\u00a02025, 45. Parent Zone in\u00a0Bratislava. Budimex also conducted educational initiatives in\u00a0the field of child safety (Hello ICE) and innovative activities through the Budimex Acceleration Program.
